We do sourcing through our unique internal network. We check each investment for alignment with fund’s investment focus and criteria. Deal partner decides whether to allocate resources to initial screening.
Initial overview on company, technology, product, unit economics, business model, market sizing, potential for growth, risk/opportunities. Investment committee to decide whether to proceed with due diligence.
Initial DD & term sheet
Full market, competitor, team, product, operational, technology, regulatory due diligence. Term sheet/nonbinding offer negotiated together with IC members. Output is a full investment memo and term sheet/NBO.
Full financial and legal DD, with further technical due diligence. In addition, we extend our DD to any other areas of potential concern. We don’t compromise on DD and won’t move forward until everything checks out. Output is a final investment memo with recommendation to proceed or not.
Full support of McWin Food Ecosystem Fund provided to portfolio companies. This ranges from technical, operational, strategy, partnership, to culture advice. We strongly believe we bring significant operational experience to the table. All material events affecting value to come back to IC during the holding period (e.g., follow on rounds, etc.)
IC evaluate and vote on any exit opportunity.
Due diligence process overview
We start with preliminary technical and operational due diligence in order to assess if there is a basis for us to proceed with full due diligence.
We proceed with full due diligence process checking every part of the company. We work closely with top-rated outside advisors.
Once full DD is completed, we circle back and cover outstanding items and potential red flags. We want to be fully informed before making a final decision.
